Is my equity in parent company what's used to create spin off?


I have equity in a company that I am spinning off from. The spin off will be directed by me, and will be a business closely linked to the parent company's operations, meaning a continuing working relationship. The parent company will be given shares as a minority stakeholder, and I will be majority stakeholder. My question is, since a spin off is a division of a company's operations into a separate entity, does the redistribution of new shares created from the spin off to original shareholders come from the value of my equity (since I will be the one directing the spin off)? Or does the spin off have nothing to do with my personal equity in the company, and instead uses separate, additional equity from the parent company to create this separate entity?
