Hello entrepreneurial pros,I have recently filed for my LLC through Inc Authority and I have a question. I originally paid only the filing fee and I paid extra for the operating agreement. Two days after submitting, I begin getting contacted by my “dedicated business advocate” and he is saying that I have to pay an additional $219 to ensure my corporate veil is in tact. My husband is a huge skeptic and he says this is just an attempt at more $$$. I have pasted the information below that I received regarding what I need to purchase.“It looks like you are missing some vital legal documentation. This means, you don’t have full legal or financial protection and have not properly separated yourself from your business.Membership Certificates When forming an LLC business, part of the procedure is establishing ownership of the business. An LLC establishes ownership by issuing membership certificates to validate ownership of the company.Initial Meeting Minutes and Resolutions The legal concept known as “piercing the corporate veil” is a significant reason why maintaining minutes of meetings is required for corporations. Creditors use this concept to argue to a court that, under particular circumstances, the corporate veil should be pierced so that its debts become liabilities to be paid from the personal assets of the shareholders. The circumstances needed to successfully argue that the corporate veil should be pierced typically center around whether the shareholders respected and engaged in corporate formalities, such as conducting regular meetings and maintaining minutes of meetings, or if they essentially treated the corporation’s activity and their activity as one and the same. LLC owners can face these same issues if their conduct does not reflect a respect for the separateness of the LLC’s activity from their own.”Do I really need these items to form in Virginia?TLDR; Inc Authority is encouraging me to add memrship certificate and meeting minutes and resolution to my LLC package. Is this an add on I must get? see hubwealthy.com/wealthy
